1. Introduction
These Terms and Conditions ("Terms") govern participation in the Peec AI Referral Program ("Program"). This Agreement is entered into between:

and you, the individual participating as a referrer ("Referrer", "you" or "your").
By enrolling in the Program, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not participate in the Program.
2. Eligibility
To participate in the Program, you must:
Be an active registered user of the Peec AI platform (www.peec.ai);
Be at least 18 years of age;
Have a valid payout method supported by Dub (bank account via Stripe Express, PayPal, or stablecoin wallet) and reside in a country supported by the Dub platform;
Not be an employee, contractor, director, or officer of Peec AI GmbH or any of its affiliates;
Comply with all applicable laws and regulations in your country of residence.
Peec AI reserves the right to approve, reject, or revoke Program participation at its sole discretion, at any time and without prior notice. Participation in the Program does not create any partnership, joint venture, agency, employment, or fiduciary relationship between you and Peec AI.
3. How the Referral Program Works
3.1 Referral Link. Upon enrollment, you will receive a unique referral link ("Referral Link") generated and tracked via Dub, Peec AI's partner platform provider. You may share this link with individuals or businesses who are not existing Peec AI users ("Referred Prospects"). Dub's platform is used solely for tracking and payout administration; your Agreement is with Peec AI, not Dub.
3.2 Qualified Referral. A referral becomes a "Qualified Referral" when all of the following conditions are met:
The Referred Prospect clicks your unique Referral Link;
The Referred Prospect creates a new Peec AI account using that link within 90 days of the first click;
The Referred Prospect completes a paid subscription to a Peec AI plan (free trials do not qualify);
The referred account remains active and in good standing for a minimum of 30 days after the first paid transaction;
The referred account is not already known to Peec AI (i.e., not a prior customer, lead, or free-trial user at the time of the referral click);
The referral is successfully tracked by Peec AI's tracking systems (see Section 12).
Peec AI determines in its sole discretion whether a referral meets the criteria for a Qualified Referral.
3.3 Reward. For each Qualified Referral, you will earn a cash reward ("Reward") as set out in your account dashboard or in any written communication from Peec AI. The Reward structure may include:
A flat fee per Qualified Referral; and/or
A percentage of the first payment made by the referred customer.
Current Reward rates are published at www.peec.ai/legal/referrals and may be updated by Peec AI at any time with at least 14 days' notice to existing Program participants.
3.4 Reward Limits and Caps. Peec AI reserves the right to set a maximum number of Rewards per Referrer per calendar month or overall. Any applicable caps will be communicated through your account dashboard.
4. Permitted Sharing Channels
Referral Links may be shared only in compliance with these Terms, applicable laws and regulations, and the policies of the relevant platform. Permitted channels include:
Referrer-owned or controlled websites and blogs;
Long-form editorial or educational content (e.g., YouTube videos, podcasts);
Organic social media posts;
Email communications sent solely to recipients who have explicitly opted in;
Private communities and one-to-one communications, as permitted in Section 5 below.
All promotion must be truthful, non-misleading, and reflect genuine experience or opinion.
5. Messaging Applications
Referral Links may be shared via private messaging applications only in:
One-to-one communications; or
Private, controlled groups where all participants have explicitly opted in to receive promotional content and which are not publicly searchable or accessible.
Use of bots, automation, scraping, broadcast lists, mass messaging, or unsolicited outreach is strictly prohibited.
6. Prohibited Distribution Channels
Referral Links may not be placed on or in connection with:
Coupon, deal, promo code, cashback, or incentive-based websites or platforms;
Deal aggregators or automated referral directories;
Browser extensions, toolbars, or similar software.
7. Discount-Focused Content & SEO
Referral Links may not appear on pages, subdomains, or content whose primary purpose is:
Promoting discounts, coupons, or deals;
Targeting discount-related searches (e.g., "coupon," "promo code," "discount," "deal");
Generating referral traffic without substantive original content.
Peec AI may determine, in its sole discretion, whether content violates this section.
8. Paid Advertising (Strictly Prohibited)
You may not use paid advertising of any kind to promote Peec AI or Referral Links, including but not limited to:
Search engine ads (brand or non-brand);
Social media or display ads;
Sponsored posts or paid placements;
Influencer marketing or compensated endorsements;
Paid traffic sources of any kind.
Any violation of this section will result in immediate termination from the Program and forfeiture of all unpaid Rewards.
9. Referral Link Integrity
You may use only official Referral Links provided by Peec AI. Referral Links may not be:
Cloaked, masked, shortened, or redirected in any manner that obscures the original link;
Embedded in iframes;
Altered in a manner that obscures attribution, tracking, or destination;
Combined with any technology intended to manipulate tracking or attribution.
10. Prohibited Conduct
You may not, in connection with the Program:
Self-refer — use your own Referral Link to create a new account or purchase a plan;
Misrepresent Peec AI — make false, misleading, or exaggerated claims about Peec AI's products, features, pricing, or capabilities;
Spam — send unsolicited bulk messages, emails, or communications;
Impersonate — represent yourself as an employee, agent, or official spokesperson of Peec AI;
Bid on brand keywords — bid on "Peec AI" or related terms in search advertising;
Create fake accounts — use bots, scripts, or automated methods to generate fraudulent referrals;
Operate multiple accounts — maintain more than one Referral Program account;
Violate applicable law — breach any applicable law, including data protection law (GDPR, CCPA), consumer protection law, or anti-spam regulations (e.g., CAN-SPAM, CASL);
Use offensive content — promote Peec AI using content that is defamatory, discriminatory, sexually explicit, or otherwise objectionable.
Violation of any of the above may result in immediate termination of your participation, forfeiture of unpaid Rewards, and, where applicable, legal action.
11. Disclosure Requirements
If you promote your Referral Link publicly (e.g., on social media, a blog, a website, or in a video), you must clearly and conspicuously disclose that you may earn a commission for referrals. This is required under:
EU/EEA law (e.g., the Digital Services Act and national consumer protection rules);
US FTC guidelines (16 C.F.R. Part 255).
Example disclosure: "Disclosure: I may earn a commission if you sign up for Peec AI using my referral link."
Failure to comply with disclosure requirements may result in termination and forfeiture of Rewards.
12. Tracking and Attribution
12.1 Tracking Technology. Referrals are tracked via Dub's link-tracking infrastructure, which uses cookies, device identifiers, and other tracking technologies. A referral will only be attributed to you if the Referred Prospect's browser accepts cookies and tracking is not blocked by an ad blocker or privacy extension, the Referred Prospect uses a supported web browser, and no technical failure prevents the recording of the referral at the time of the click or sign-up.
12.2 Last-Click Attribution. Peec AI applies a last-click attribution model with a 90-day attribution window. If a Referred Prospect clicks your Referral Link but completes sign-up more than 90 days later, no Reward is earned. If a Referred Prospect has clicked referral links from multiple Referrers, the Reward is attributed solely to the Referrer whose link was clicked last before sign-up. Peec AI's decision on attribution disputes is final.
12.3 No Liability for Tracking Failures. Peec AI is not liable for Rewards lost due to technical tracking failures outside of its direct control, including but not limited to browser settings, network issues, or third-party tool outages including disruptions to the Dub platform.
13. Payment of Rewards
13.1 Payment Processing. Rewards are disbursed through Dub, Peec AI's partner platform provider. Supported payout methods are:

Method: Stablecoin (USDC) Details: Wallet address required; 0.5% transaction fee applies Typical timeline: Within minutes
You must connect your preferred payout method via your Dub partner dashboard. You are responsible for providing accurate and up-to-date payout details. Peec AI is not liable for misdirected payments resulting from incorrect information you provide. Dub covers 80+ countries. If your country is not supported, you are not eligible to participate in the Program until a supported payout method becomes available to you.
13.2 Payment Schedule. Rewards become eligible for payout after a holding period of 30 days from the date the referred customer's first payment is confirmed, to account for potential refunds and chargebacks. Eligible Rewards are then processed by Dub in the next available payout cycle.
13.3 Minimum Payout Threshold. Rewards are automatically disbursed once your accumulated balance reaches $20 USD (or local equivalent). Balances below $20 may be manually withdrawn subject to a $0.50 processing fee charged by Dub. Balances below the threshold carry forward to the next payout cycle.
13.4 Taxes. You are solely responsible for reporting and paying any taxes, levies, or duties applicable to Rewards you receive under these Terms, including but not limited to income tax, VAT, or sales tax. For US-based Referrers, Dub will collect a W-9 form during onboarding and issue a 1099-NEC for any Referrer earning $600 USD or more in a calendar year. For non-US Referrers, Dub will collect a W-8 form to confirm non-US residency. Where legally required, Peec AI or Dub may withhold taxes from Reward payments.
13.5 Chargebacks, Reversals, and Clawbacks. Peec AI may withhold, adjust, reverse, or claw back Rewards at any time in the event of refunds, chargebacks, or cancellations by a referred customer; fraud, abuse, or policy violations; invalid referrals or ineligible customers; or technical errors or tracking anomalies. If a referred customer reverses their payment or receives a refund, the corresponding Reward will be automatically deducted from your balance. Peec AI reserves the right to recover previously paid Rewards from future payments where a reversal occurs after disbursement. Peec AI's determination regarding Rewards is final.
14. Third-Party Platform (Dub)
The Program is administered through Dub (dub.co), a third-party partner platform. By participating in the Program, you acknowledge that your use of the Dub partner dashboard is subject to Dub's own Terms of Service and Privacy Policy, available at dub.co/legal; Peec AI does not control and is not responsible for the availability, functionality, or policies of the Dub platform; payout mechanics, supported countries, and payout methods are determined by Dub and are subject to change at any time; and disputes relating solely to Dub's platform functionality must be directed to Dub support, while disputes regarding Reward eligibility or these Terms must be directed to Peec AI.
15. Intellectual Property
15.1 Limited License. Peec AI grants you a limited, non-exclusive, non-transferable, revocable license to use Peec AI's name, logo, and approved marketing materials solely for the purpose of sharing your Referral Link in compliance with these Terms and any brand guidelines published at www.peec.ai.
15.2 Restrictions. You may not alter, modify, or create derivative works from Peec AI's brand assets. You may not use Peec AI's name or trademarks in a domain name, social media handle, or business name.
15.3 Ownership. All intellectual property rights in Peec AI's platform, brand, content, and materials remain exclusively with Peec AI GmbH.
16. Confidentiality
You agree to keep confidential any non-public information shared by Peec AI in connection with the Program, including but not limited to commission rates, internal pricing, and roadmap details. This obligation survives termination of these Terms for a period of 2 years.
17. Term and Termination
17.1 Term. These Terms begin on the date you enroll in the Program and continue until terminated by either party.
17.2 Termination by You. You may terminate your participation at any time by contacting support@peec.ai or withdrawing from the Program in your account dashboard.
17.3 Termination by Peec AI. Peec AI may terminate your participation at any time without cause upon 14 days' written notice, or immediately and without notice if you breach these Terms, engage in fraudulent activity, or violate applicable law. Peec AI may also, without prior notice, deactivate your Referral Link, withhold or forfeit unpaid Rewards, or suspend your participation. You waive any right to a notice, cure period, or appeal unless required by applicable law.
17.4 Effect of Termination. Upon termination: your Referral Link will be deactivated; no new Qualified Referrals will be accepted; any Rewards already earned for Qualified Referrals confirmed prior to termination will be paid out in the next regular payment cycle, subject to the chargeback provisions in Section 13.5; and Rewards earned through fraudulent or prohibited conduct will be forfeited.
18. Modification of the Program
Peec AI reserves the right to modify, suspend, or discontinue the Program or any part of it at any time. Material changes to Reward structures or eligibility criteria will be communicated to active Referrers with at least 14 days' notice via email or account dashboard notification. Continued participation after the effective date of a change constitutes acceptance.
19. Disclaimer of Warranties
The Program is provided "as is." Peec AI makes no guarantee regarding the volume of referrals you will generate, the amount of Rewards you will earn, or the uninterrupted availability of the referral tracking platform.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Peec AI's total liability to you under or in connection with these Terms shall not exceed the total Rewards paid to you in the 12 months preceding the claim. Peec AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or loss of data.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
21. Indemnification
You agree to indemnify, defend, and hold harmless Peec AI GmbH and its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any applicable law or third-party rights, any content you publish or share in connection with the Program, or your participation in or promotion of the Program.
22. Data Protection
Peec AI will process your personal data (name, email address, payment details, referral activity) as a data controller for the purposes of administering the Program. This processing is based on the performance of this Agreement (Art. 6(1)(b) GDPR). For full details, please review our Privacy Policy at www.peec.ai/privacy.
Where you share personal data of Referred Prospects with Peec AI (e.g., by forwarding a referral invitation), you confirm that you have a lawful basis to do so under applicable data protection law.
23. Governing Law and Dispute Resolution
23.1 Governing Law. These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of law provisions. For Referrers residing in the United States, mandatory consumer protection laws of the Referrer's state of residence may additionally apply.
23.2 EU Referrers. For Referrers based in the EU/EEA, disputes may be referred to the competent courts of Berlin, Germany, or to an EU online dispute resolution platform at https://ec.europa.eu/consumers/odr.
23.3 US Referrers. For Referrers based in the United States, disputes that cannot be resolved informally shall be resolved by binding individual arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings conducted in English. Class action and class arbitration are waived. You may opt out of this arbitration clause within 30 days of enrolling in the Program by emailing support@peec.ai with the subject line "Arbitration Opt-Out."
24. General Provisions
Entire Agreement. These Terms constitute the entire agreement between you and Peec AI with respect to the Program and supersede all prior agreements.
Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver. Peec AI's failure to enforce any provision shall not constitute a waiver of its right to do so in the future.
Assignment. You may not assign your rights or obligations under these Terms without Peec AI's prior written consent. Peec AI may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
Language. These Terms are executed in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
